Website Terms of Use

1. Scope and acceptance

By accessing or using the Site, or by submitting a Site form that links to these Terms, you agree to these Terms. If you do not agree, do not use the Site or submit its forms. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

These Terms govern the Site only. They do not grant a license to or govern your installation or use of Pinman software. The End User License Agreement presented with the software ("EULA") governs the software, bundled components, and product use. If these Terms and the EULA conflict, the EULA controls as to the software and these Terms control as to the Site.

Our Privacy Policy explains how we handle personal information across the Site, software, licensing, support, and beta program.

2. Permitted use

Subject to these Terms, Parkerhill grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site and its content for lawful personal or internal business purposes. You may print or download reasonable portions of the Site's documentation for those purposes. No other rights are granted, and all rights not expressly granted are reserved.

3. Prohibited conduct

You may not:

• use the Site in violation of law or another person's rights;
• attempt to gain unauthorized access to the Site, its systems, or accounts, or probe or test them without written authorization;
• interfere with the Site, introduce malicious code, evade security or rate limits, or place an unreasonable load on its infrastructure;
• use automated means to scrape or extract Site content at abusive volume, circumvent access controls, or disregard instructions in robots.txt, except for ordinary search-engine indexing or as we authorize in writing;
• impersonate another person, misrepresent your affiliation, or submit information you do not have the right to provide; or
• reproduce, frame, mirror, republish, resell, or commercially exploit a substantial part of the Site except as these Terms or applicable law permits.

4. Product information and software downloads

Site descriptions, specifications, compatibility information, pricing, release dates, roadmaps, and planned features may change and do not constitute a binding offer, warranty, or commitment. Any applicable order, offer, receipt, or purchase terms control the commercial terms of a transaction.

Pinman software made available through the Site is licensed, not sold. You must review and accept the EULA that accompanies the software before installing or using it. Downloads may also include open-source or third-party components governed by their own notices and license terms.

Beta, preview, and other pre-release materials may be incomplete, contain defects, change materially, or never be commercially released. Do not rely on Site information or pre-release materials for safety-critical operations, and maintain appropriate backups before installing or testing software.

5. Export and sanctions compliance

The Site and its downloads are made available from the United States and are subject to applicable export-control and economic-sanctions laws. You may not access the Site, or download, export, re-export, or transfer software or other content obtained from it, in or to a prohibited destination, by or for a prohibited party, or for a prohibited end use without all required authorizations.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive United States sanctions, and that you are neither identified on a United States government restricted-party list nor acting for a party that is.

Pinman software includes standard third-party cryptographic components and may therefore be subject to export-control laws that apply to encryption, including the United States Export Administration Regulations. You are responsible for determining and satisfying the requirements that apply to any download, export, re-export, or transfer you make. The EULA's export and sanctions terms also apply to software you install.

6. Submissions and feedback

You remain responsible for information you submit through Site forms or communications. Do not submit confidential information or material you do not have the right to provide. We handle personal information in submissions as described in the Privacy Policy.

If you voluntarily provide suggestions, ideas, bug reports, or other feedback about the Site or Pinman, you grant Parkerhill a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use, reproduce, modify, distribute, and commercialize that feedback for any purpose. We are not required to use or compensate you for feedback. This license does not give us ownership of personal information in your submission.

7. Intellectual property

The Site and its content, including text, documentation, graphics, logos, design, and screenshots, are owned by Parkerhill Technology Corp or its licensors and are protected by applicable intellectual-property laws. The Pinman and Parkerhill names, logos, and marks may not be used in a way that suggests sponsorship, endorsement, or affiliation without our written permission. Third-party names and marks belong to their respective owners.

8. Third-party services and content

The Site may link to or interoperate with third-party websites, repositories, downloads, products, or services, including GitHub. We do not control third-party offerings, and a link does not by itself mean we sponsor or endorse them. Your use of third-party offerings is subject to their own terms and privacy practices, and you are responsible for evaluating them before use.

Content identified as community-contributed is provided by third parties rather than Parkerhill. Review its source, permissions, license, and suitability before using it.

9. Site availability and changes

We may change, suspend, restrict, or discontinue any part of the Site at any time. We do not promise that the Site, any download, or any particular content will remain available, current, secure, or error-free. We may restrict access when reasonably necessary to protect the Site, users, Parkerhill, or third parties, or to address unlawful or prohibited conduct.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES, CONDITIONS, OR GUARANTEES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARKERHILL AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT WILL BE COMPLETE, ACCURATE, OR CURRENT.

This section does not affect any express warranty contained in a separate written agreement or any warranty or consumer right that cannot lawfully be excluded.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARKERHILL AND ITS LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, PROFITS, REVENUE, BUSINESS, OPPORTUNITY, OR GOODWILL; BUSINESS INTERRUPTION; OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARKERHILL'S AND ITS LICENSORS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PARKERHILL TO ACCESS THE SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $50.

These exclusions and limitations apply even if a remedy fails of its essential purpose. They do not exclude or limit liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions or limitations, so some of this section may not apply to you.

12. Governing law and venue

These Terms are governed by the laws of the State of New Hampshire, United States, without regard to conflict-of-laws principles. The state and federal courts located in New Hampshire have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Site, and each party consents to their personal jurisdiction.

This section does not deprive a consumer of the protection of any law or forum that cannot be waived by agreement.

13. Changes to these Terms

We may revise these Terms prospectively. We will post the revised Terms on this page and update the effective date. If a change is material, we will provide additional notice or request renewed acceptance where required by law or appropriate to the nature of our relationship with you. Changes do not apply retroactively to a dispute that arose before the revised Terms took effect. By continuing to use the Site after revised Terms take effect, you agree to the revised Terms.

14. General terms

These Terms are the entire agreement between you and Parkerhill concerning the Site and supersede prior or contemporaneous communications about the Site. Separate agreements, including the EULA and any applicable purchase terms, continue to govern their stated subjects. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

You may not assign these Terms without Parkerhill's written consent, except to the extent applicable law requires otherwise. Parkerhill may assign them in connection with a merger, reorganization, sale of assets, or transfer of the Site or product business. Headings are for convenience only, and "including" means "including without limitation."
